This panel will provide an overview of how the First Amendment protects free speech when it occurs outside the workplace. It will explore the extent to which public and private employers may respond to employees’ expressions in the public sphere, including key limitations on employer action.

This panel will discuss recent Court of Chancery case law regarding directors’ and officers’ fiduciary duties as they pertain to workplace harassment and misconduct, as well as the Court’s increasing reluctance to enforce restrictive covenants against employees. It will also address best practices in drafting restrictive covenants with an eye towards enforceability.
