Twenty years ago, the Supreme Court split 3-2 to reverse the judgment of the Chancery Court’s judgment denying the application for a temporary injunction preventing a merger of NCS and Genesis. The Supreme Court found that preclusive and coercive measures in a contract must yield to the supervening responsibility of the directors to discharge their fiduciary duties. Now, 20 years later, come join the principal players in the underlying Chancery case and the Supreme Court opinion. Get an unusual opportunity to hear what the dissent has to say.
